Terms of Service

1. Parties and scope
These terms govern use of the dmhive service available at dmhive.io and related subdomains, provided by Individual Entrepreneur Valentin Nazarenko, registration number 300421933, address Georgia, Tbilisi, Nadzaladevi district, Ts. Dadiani Street, N34, Block N7, Building N10, commercial space ("we", "us").
The service is intended for companies and sole traders ("customer", "you") and allows automating conversations with their own customers in messaging apps: building reply scenarios, running a shared inbox and contact database, and sending messages through connected accounts.
By registering you confirm that you act on behalf of an organisation and are authorised to accept these terms.
2. Account
- you are responsible for the accuracy of registration details and for keeping access credentials safe;
- you are responsible for the actions of every user you invite into your workspace;
- report any unauthorised access immediately to support@dmhive.io.
3. Plans, payment, refunds
- plan prices and contents are published on the website; subscriptions renew automatically until cancelled;
- you may cancel at any time; the subscription remains active until the end of the paid period;
- within 14 days of payment you may cancel with no questions asked and get your money back: write to support@dmhive.io; the refund goes back the way the payment came and access to paid features stops;
- we give at least 30 days' notice of price changes, effective from the next billing period;
- usage beyond the subscription may be charged separately: messages in channels where the platform charges for delivery, and artificial intelligence model usage;
- if you exceed plan limits the service keeps running, but some features are restricted until you move to a suitable plan.
4. Acceptable use
This is the key section. By using the service you undertake to:
4.1. Not send spam
- message only people who contacted you first or gave explicit consent to receive messages;
- retain proof of consent and provide it at our request;
- include a clear way to unsubscribe in every broadcast and honour opt-outs immediately;
- never buy, rent or import contact lists collected without people's consent.
4.2. Comply with platform rules
You must comply with the rules of the messaging platforms whose accounts you connect, including Meta Platform Terms for Instagram, Facebook Messenger and WhatsApp, the Telegram Bot API terms and MAX platform rules. In particular:
- respect the 24-hour messaging window on Meta platforms; the service enforces this automatically, and circumventing it by technical means is prohibited;
- do not misuse platform tags and mechanisms: in particular, the human-agent tag must never be applied to automated messages;
- do not automate personal (non-professional) accounts where platform rules prohibit it.
Breaching platform rules may lead to restrictions on your account imposed by the platform; we are not responsible for those.
4.3. Be honest with the person on the other side
- do not pass automated replies off as a human: a bot must identify itself as a bot where this is not obvious from context (a legal requirement in several jurisdictions, including the EU Artificial Intelligence Act);
- provide a way to reach a human operator.
4.4. Not use the service for prohibited purposes
- distributing material that breaks the law or infringes third-party or intellectual property rights;
- fraud, deception, or trading in prohibited goods and services;
- practices expressly prohibited by artificial intelligence legislation, including manipulative techniques that exploit people's vulnerabilities;
- attempting to disrupt the service, bypass limits, access other workspaces, or probe our infrastructure without our written permission.
4.5. Take responsibility for the data you upload
By uploading chat exports, contact lists or other material containing personal data, you confirm that you are entitled to process it and to pass it to us for processing, and that you have informed data subjects to the extent required by applicable law.
5. Your data
Data you upload and receive through connected accounts remains yours. We process it solely to provide the service, as described in our Privacy Policy.
Message content is not used to train artificial intelligence models. Customers who require a separate data processing agreement (DPA) can request one at privacy@dmhive.io.
You can export your scenarios in an open format and delete your account at any time, see Data Deletion.
6. Our rights in the service
The software, interface, documentation and the dmhive trademark belong to us. You receive a limited, non-exclusive, non-transferable right to use the service for the duration of your subscription. You may not copy, decompile or resell the service without our written consent (this does not affect plans that expressly allow agencies to operate on behalf of their own clients).
7. Availability
We aim for uninterrupted operation, but the service is provided "as is". Planned maintenance is announced in advance. We are not liable for disruptions caused by outages or changes on the messaging platforms' side, for platform actions against your accounts, or for force majeure.
Separate service level agreements (SLAs) are available on enterprise plans.
8. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claims relating to the service is limited to the amount you actually paid over the preceding 12 months. We are not liable for lost profits, data loss caused by your own actions, or indirect damages.
9. Suspension and termination
You may stop using the service at any time. We may suspend access if your use breaches section 4, creates a security risk, or exposes us to platform sanctions. Except in cases of serious breach, we notify you first and allow a reasonable period to fix the issue.
10. Changes to these terms
We may amend these terms. We give at least 14 days' notice of material changes by email and in the product interface. Continuing to use the service after changes take effect constitutes acceptance of the new version.
11. Governing law and disputes
These terms are governed by the laws of Georgia. Disputes that cannot be resolved through negotiation are subject to the courts at our place of registration, unless mandatory rules of your jurisdiction provide otherwise.
